What is a contract?

A contract is a legally binding agreement in different forms like MSA, NDA, PSA etc which is executed between two or more parties that defines what to do (along with how to do and how not to do) and what not to do (along with exceptions). If a party fails to fulfill its obligations under a contract, the other party may have legal remedies, such as seeking damages or specific performance (compelling the breaching party to fulfill their contractual obligations). However, enforcing a contract often involves proving the validity/legality of contract, legal proceedings, and the specific remedies available depend on the terms of the contract and applicable laws.

How to differentiate them?

A service agreement is a legal document that outlines the terms and conditions of a specific service, while a contract is a more complex legal document that can cover a wider range of transactions. Services agreements are frequently less formal and might include a wide range of terms and conditions. On the other hand, contracts are frequently more precise and necessitate specialised formalities.

Why does it matter?

The distinction between a contract and a service agreement matters for legal compliance, enforceability, communication, and risk management. It provides clarity on the rights and responsibilities of each party and helps ensure that the document effectively addresses the specific nature of the transaction at hand.
