\r\n\t\t\t(1) If you create a User Account, you will be provided with a SHEIN digital\r\n\t\t\twallet (\r\n\t\t\t\r\n\t\t\t\t“Wallet”\r\n\t\t\t\r\n\t\t\t) that can be used to collect and hold wallet credits, gift cards, promotional\r\n\t\t\tcoupons and promotional points issued by SHEIN via the Services. Wallet\r\n\t\t\tcredits, gift cards, promotional coupons and promotional points stored\r\n\t\t\tin your Wallet can only be redeemed with SHEIN in connection with purchase\r\n\t\t\tof products from SHEIN, and not for any other purpose. The Wallet is accessible\r\n\t\t\tat any time via the local Site or App in the section “My Assets”. Your\r\n\t\t\ttotal assets, including wallet credit, gift cards linked to an account\r\n\t\t\tand coupons with a dollar value, cannot exceed $2,000 on any given day.\r\n\t\t\tIn addition, we may further provide value limit to each of wallet credit,\r\n\t\t\tgift cards linked to an account and coupons with a dollar value at our\r\n\t\t\tsole discretion.\r\n\t\t

\r\n\t\t\t(2)\r\n\t\t\t\r\n\t\t\t\tPromotional Points:\r\n\t\t\t\r\n\t\t\tPromotional points can be earned and stored under “My Assets” by using\r\n\t\t\tour Services offered on your local Site, App or social media accounts and\r\n\t\t\tpurchasing goods in accordance with the specific provisions available under\r\n\t\t\t\r\n\t\t\t\tBonus Points\r\n\t\t\t\r\n\t\t\t. Promotional Points are granted in the Company’s sole discretion; they\r\n\t\t\tare subject to expiration and cancellation by the Company. Promotional\r\n\t\t\tpoints can only be redeemed on the site through which they were granted\r\n\t\t\t(for example, if promotional points were granted on the us.shein.com site,\r\n\t\t\tthen they can only be redeemed on that site).\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\tPromotional coupons:\r\n\t\t\t\r\n\t\t\tCoupons can be purchased from the Company from time to time or may be\r\n\t\t\tgranted by the Company in its sole discretion. Coupons may be stored under\r\n\t\t\t“My Assets.” SHEIN coupons that were purchased can only be redeemed on\r\n\t\t\tthe site on which they were purchased (for example, if coupons were purchased\r\n\t\t\ton the us.shein.com site, then they can only be redeemed on that site).\r\n\t\t\tThe redemption of coupons granted by the SHEIN free of charge is subject\r\n\t\t\tto limitations imposed in SHEIN’s sole discretion from time to time.\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\tWallet Credit:\r\n\t\t\t\r\n\t\t\tWallet credit can be stored in your Wallet by returning goods in accordance\r\n\t\t\twith our\r\n\t\t\t\r\n\t\t\t\tReturns Policy\r\n\t\t\t\r\n\t\t\tand choosing a store credit as your refund option. Once you elect to receive\r\n\t\t\ta wallet credit instead of a refund to the payment method used for your\r\n\t\t\tpurchase, the store credit can no longer be refunded in cash, except as\r\n\t\t\tmay be required under applicable law. Wallet credits can only be redeemed\r\n\t\t\ton the site through which the wallet credit was granted (for example, if\r\n\t\t\tyou ordered and subsequently returned a product on the us.shein.com site\r\n\t\t\tand elected to receive a wallet credit, that wallet credit can only be\r\n\t\t\tredeemed on that site).\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\tGift Cards:\r\n\t\t\t\r\n\t\t\tGift cards can be redeemed and stored under “My Assets” by entering the\r\n\t\t\tgift card code through your User Account. Gift cards purchased on the U.S.\r\n\t\t\tSite, us.shein.com, do not expire and are not subject to fees. For SHEIN\r\n\t\t\tgift cards that are purchased prior to March 8, 2021 and can be used on\r\n\t\t\tany SHEIN site, once any portion of such gift cards are redeemed on the\r\n\t\t\tU.S. Site, us.shein.com , any balances on those cards can only be redeemed\r\n\t\t\ton the US Site. Gift cards purchased after March 8, 2021 can only be redeemed\r\n\t\t\ton the site on which they were purchased (for example, if a gift card was\r\n\t\t\tpurchased after March 8, 2021 on us.shein.com, then that gift card can\r\n\t\t\tonly be redeemed on that site). The redemption of gift cards granted by\r\n\t\t\tthe Company free of charge is subject to limitations imposed in the Company’s\r\n\t\t\tsole discretion from to time.\r\n\t\t

\r\n\t\t\t(3) You can use wallet credits, gift cards, paid or free promotional coupons\r\n\t\t\tand promotional points that are stored under “My Assets” as an additional\r\n\t\t\tpayment option or discount to be used on the Site, subject to the applicable\r\n\t\t\tterms above and the provisions available under\r\n\t\t\t\r\n\t\t\t\tBonus Points\r\n\t\t\t\r\n\t\t\t. Wallet credits, gift cards, paid or free promotional coupons and promotional\r\n\t\t\tpoints cannot be redeemed for cash, except as may be required under applicable\r\n\t\t\tlaw.\r\n\t\t

\r\n\t\t\t(4) The Wallet is provided as part of the User Account and is subject\r\n\t\t\tto the same provisions as set forth in Paragraph 2.3. If your Wallet holds\r\n\t\t\tpromotional points, coupons or credits at the time of termination or cancellation\r\n\t\t\tof your User Account, you may lose those assets, except as provided by\r\n\t\t\tapplicable law.\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\t2.5 Customs.\r\n\t\t\t\r\n\t\t\tIn accordance with Customs regulations, you must provide valid and accurate\r\n\t\t\tdata. All consignee names, addresses and payer names should be valid. It\r\n\t\t\tis your sole responsibility that the data you provide to us is complete\r\n\t\t\tand accurate. Should any information be missing or be incorrect and prevent\r\n\t\t\tany shipment or deliveries or customs clearance, we will not be responsible\r\n\t\t\tand will not offer any compensation in such cases. You hereby authorize\r\n\t\t\tCompany and its affiliates to make statements, submit, amend and invalidate\r\n\t\t\tall declarations and documents necessary or useful to import goods ordered\r\n\t\t\tby you in your name and for your account. This power of attorney includes\r\n\t\t\tthe power to make and receive service and deliveries, request refunds of\r\n\t\t\tany levies, taxes and fees relating to the importation of goods, to conduct\r\n\t\t\tadministrative appeal and court proceedings as well as enforcement proceedings\r\n\t\t\tand appeals and remedies at all instances, file applications, complaints,\r\n\t\t\tetc. with public authorities, courts and other institutions, file, withdraw\r\n\t\t\tand/or waive legal remedies and appeals against judgments, orders, arbitral\r\n\t\t\tawards, payment orders, or any other orders and decisions of whatever kind,\r\n\t\t\treceive monies, valuables and documents and/or deeds. It also includes\r\n\t\t\tthe right to instruct customs agents in the name and on behalf of you and\r\n\t\t\tto grant sub-authorization to customs agents and/or other representatives\r\n\t\t\tinvolved in handling matters relating to the importation of goods and complying\r\n\t\t\twith regulations regarding the importation of goods. As the importer, you\r\n\t\t\tare responsible for complying with all laws and regulations in your own\r\n\t\t\tcountry.\r\n\t\t

We aim to deliver orders as quickly\r\n\t\t\t\tas possible. However, sometimes during busy sale periods, deliveries may\r\n\t\t\t\ttake longer. \r\n\t\t\t\t\r\n\t\t\t\t\t5.5 Title and risk of loss.\r\n\t\t\t\t\r\n\t\t\t\tTitle to any purchased items transfers from the respective Company selling\r\n\t\t\t\tentity (i.e., SHEIN Distribution Corporation if you are in the United States)\r\n\t\t\t\tto you as the respective customer once the items are loaded onto the international\r\n\t\t\t\tcarrier outside of your country. Because our delivery of your purchased\r\n\t\t\t\titem to the carrier shall constitute delivery to you, the risk of loss\r\n\t\t\t\tor damage shall pass on to you at the time we deliver your purchased item\r\n\t\t\t\tto the international carrier. Any claim you may have regarding damage to\r\n\t\t\t\tthe item during shipping or delivery should be made directly to the carrier.\r\n\t\t\t\tAny claims against the Company for shortage or damage occurring prior to\r\n\t\t\t\tour delivery of the item to the carrier must be made within five (5) days\r\n\t\t\t\tafter your receipt of the goods and must be accompanied by an original\r\n\t\t\t\ttransportation bill signed by the carrier noting that the carrier received\r\n\t\t\t\tthe goods from the Company in the condition claimed. To help protect buyers\r\n\t\t\t\tfrom risk of loss due to lost or damaged goods, we generally offer a shipping\r\n\t\t\t\tguarantee (insurance) on the Site for purchase.\r\n\t\t\t

\r\n\t\t\t\t\r\n\t\t\t\t\t5.7 Reviews, Comments and Submissions.\r\n\t\t\t\t\r\n\t\t\t\tExcept as otherwise provided elsewhere in this Agreement or on the Services,\r\n\t\t\t\tanything that you submit or post to the Services and/or provide to the\r\n\t\t\t\tSite or Apps, including, without limitation, picture, video, ideas, know-how,\r\n\t\t\t\ttechniques, questions, reviews, comments, and suggestions (collectively,\r\n\t\t\t\t\r\n\t\t\t\t\t\"Submissions\"\r\n\t\t\t\t\r\n\t\t\t\t) is and will be treated as non-confidential and nonproprietary, and by\r\n\t\t\t\tsubmitting or posting, you agree to irrevocably license the entry and all\r\n\t\t\t\tintellectual property (\r\n\t\t\t\t\r\n\t\t\t\t\t“IP”\r\n\t\t\t\t\r\n\t\t\t\t) rights related thereto (excluding the moral rights such as authorship\r\n\t\t\t\tright) to the Company without charge and we shall have the royalty-free,\r\n\t\t\t\tworldwide, perpetual, irrevocable, and transferable right to use, copy,\r\n\t\t\t\tdistribute, display, publish, perform, sell, lease, transmit, adapt, create\r\n\t\t\t\tderivative works from such Submissions by any means and in any form, and\r\n\t\t\t\tto translate, modify, reverse-engineer, disassemble, or decompile such\r\n\t\t\t\tSubmissions. All Submissions shall automatically become our sole and exclusive\r\n\t\t\t\tproperty and shall not be returned to you and you agree not to raise any\r\n\t\t\t\tdispute in connection with any use of the entry by us in the future.\r\n\t\t\t

\r\n\t\t\t

\r\n\t\t\t\tYou warrant that your Submissions, in whole or in part, are clear and\r\n\t\t\t\tfree of any IP right infringement, disputes or third party claims. We assume\r\n\t\t\t\tno liability for any misuse of copyright or any other rights of third parties\r\n\t\t\t\tby you. You undertake to defend and indemnify the Company against any losses\r\n\t\t\t\tcaused due to the use of the Submissions for any purposes.\r\n\t\t\t

\r\n\t\t\t\tIn addition to the rights applicable to any Submission, when you post\r\n\t\t\t\tcomments or reviews to the Site or Apps, you also grant us the right to\r\n\t\t\t\tuse the name that you submit with any review, comment, or other content,\r\n\t\t\t\tif any, in connection with such review, comment, or other content. You\r\n\t\t\t\trepresent and warrant that you own or otherwise control all of the rights\r\n\t\t\t\tto the reviews, comments, and other content that you post on the Site and\r\n\t\t\t\tthat use of your reviews, comments, or other content by us will not infringe\r\n\t\t\t\tupon or violate the rights of any third party. You shall not use a false\r\n\t\t\t\te-mail address, pretend to be someone other than yourself, or otherwise\r\n\t\t\t\tmislead us or third parties as to the origin of any Submissions or content.\r\n\t\t\t\tWe may but shall not be obligated to remove or edit any Submissions (including\r\n\t\t\t\tcomments or reviews) for any reason.\r\n\t\t\t

\r\n\t\t\t\r\n\t\t\t\t6.1 Content.\r\n\t\t\t\r\n\t\t\tThe Services, including all of their information and content, such as\r\n\t\t\tthe text, software, scripts, graphics, photos, sounds, music, videos, and\r\n\t\t\tinteractive features (collectively,\r\n\t\t\t\r\n\t\t\t\t“Content”\r\n\t\t\t\r\n\t\t\tprovided as part of the Services belong at all times to the Company or\r\n\t\t\tto those who grant us the license for their use and is protected by U.S.\r\n\t\t\tand international copyright laws. You may use the Content only to the extent\r\n\t\t\tthat we or the usage licensers authorize expressly.\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\t6.2 SHEIN Marks.\r\n\t\t\t\r\n\t\t\tIn addition, the “SHEIN” trademarks, service marks, icons, graphics, wordmarks,\r\n\t\t\tdesigns and logos contained therein (\r\n\t\t\t\r\n\t\t\t\t“Marks”\r\n\t\t\t\r\n\t\t\t), are owned by Roadget Business Pte. Ltd (and in some cases are provided\r\n\t\t\tto regional affiliated entities for their use in selling Company products\r\n\t\t\tto local customers). “SHEIN” and the Marks of SHEIN are trademarks in the\r\n\t\t\tUnited States and other countries for which applications are pending or\r\n\t\t\tregistrations have issued. You do not have, and will not acquire, any right,\r\n\t\t\ttitle, or interest in or to any of the Marks. The SHEIN Marks may not be\r\n\t\t\tused in connection with any product or service that is not the Company’s,\r\n\t\t\tin any manner that is likely to cause confusion among customers, or in\r\n\t\t\tany manner that discourages or discredits the Company. The Marks, whether\r\n\t\t\ton any product offered for sale on the Site or the Apps, or appearing as\r\n\t\t\ta logo or text on any portion of the Site, are not a representation that\r\n\t\t\tRoadget Business Pte. Ltd is the owner of any copyright or other intellectual\r\n\t\t\tproperty rights in the products offered for sale on the Site or the Apps.\r\n\t\t\tRoadget Business Pte. Ltd sources some of its products from third-party\r\n\t\t\tmanufacturers and wholesalers.\r\n\t\t

You agree\r\n\t\t\tto indemnify us in full for all claims, expenses, and damages related to\r\n\t\t\tor caused in whole or in part by your failure to notify us if you change\r\n\t\t\tyour telephone number, including, but not limited to, all claims, expenses,\r\n\t\t\tand damages related to or arising under the U.S. Telephone Consumer Protection\r\n\t\t\tAct.\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\t8.5 Participation Subject to Termination or Change.\r\n\t\t\t\r\n\t\t\tWe may suspend or terminate your receipt of automated marketing messages\r\n\t\t\tfrom us if we believe you are in breach of these Terms. \r\n\t\t\t\t\tInability to use trains, ships, aircraft, motorized transport or other\r\n\t\t\t\t\tmeans of transport, public or private.\r\n\t\t\t\t
\r\n\t\t\t\t\tInability to use public or private telecommunication systems.\r\n\t\t\t\t
\r\n\t\t\t\t\tActs, decrees, legislation, regulations or restrictions of any government\r\n\t\t\t\t\tor public authority.\r\n\t\t\t\t
\r\n\t\t\t\t\tStrike, failure or accident in maritime or river transport, postal transport\r\n\t\t\t\t\tor any other type of transport.\r\n\t\t\t\t

\r\n\t\t\tIt shall be understood that our obligations deriving from the Terms or\r\n\t\t\tother contracts are suspended during the period in which Force Majeure\r\n\t\t\tremains in effect and we will be given an extension of the period in which\r\n\t\t\tto fulfil these obligations by an amount of time equal to the time the\r\n\t\t\tForce Majeure lasted. We will provide all reasonable resources to end the\r\n\t\t\tForce Majeure to the extent we can or to find a solution that enables us\r\n\t\t\tto fulfil our obligations under the Terms despite the Force Majeure.\r\n\t\t

\r\n\t\t\t10. LIABILITY FOR PURCHASED PRODUCTS, WAIVER, AND STATUTORY CONSUMER RIGHTS\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\t10.1 Company Liability.\r\n\t\t\t\r\n\t\t\tUnless otherwise indicated expressly in these Terms, our liability regarding\r\n\t\t\tany product acquired on our Site shall be limited strictly to the price\r\n\t\t\tof purchase of said product. Notwithstanding the above, our liability shall\r\n\t\t\tnot be waived nor limited in the following cases:\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\t10.3 Warranties.\r\n\t\t\t\r\n\t\t\tDue to the open nature of the Services and the possibility of errors in\r\n\t\t\tstorage and transmission of digital information, we do not warrant the\r\n\t\t\taccuracy and security of the information transmitted or obtained by means\r\n\t\t\tof the Services, unless otherwise indicated expressly on the Services.\r\n\t\t\tAll product descriptions, information and materials shown on the Services\r\n\t\t\tare provided \"as is\", with no express or implied warranties or conditions\r\n\t\t\tof the same, except those legally established. In this sense, if you are\r\n\t\t\tcontracting as a consumer or user, we are obliged to deliver goods that\r\n\t\t\tare in conformity with the mutually intended transaction, in accordance\r\n\t\t\twith commercial reasonable expectations, being liable to you for any lack\r\n\t\t\tof conformity which exists at the time of delivery. \r\n\t\t\t\r\n\t\t\t\t12.2 Agreement to Binding Arbitration.\r\n\t\t\t\r\n\t\t\tIf we do not reach an agreed upon solution within a period of thirty (30)\r\n\t\t\tdays from the time informal dispute resolution is pursued pursuant to the\r\n\t\t\timmediately preceding paragraph, then either party may initiate binding\r\n\t\t\tarbitration. All claims arising out of or relating to the Terms (including\r\n\t\t\ttheir formation, performance and breach), your and our relationship and/or\r\n\t\t\tyour use of the Services shall be finally settled by binding arbitration\r\n\t\t\tadministered by JAMS, in accordance with the JAMS Streamlined Arbitration\r\n\t\t\tRules and Procedures, excluding any rules or procedures governing or permitting\r\n\t\t\tclass actions. Each party will have the right to use legal counsel in connection\r\n\t\t\twith arbitration at its own expense. You and we shall select a single neutral\r\n\t\t\tarbitrator in accordance with the JAMS Streamlined Arbitration Rules and\r\n\t\t\tProcedures. The arbitrator, and not any federal, state or local court or\r\n\t\t\tagency, shall have exclusive authority to resolve all disputes arising\r\n\t\t\tout of or relating to the interpretation, applicability, enforceability\r\n\t\t\tor formation of the Terms, including, but not limited to, any claim that\r\n\t\t\tall or any part of the Terms is void or voidable. The arbitrator shall\r\n\t\t\tbe empowered to grant whatever relief would be available in a court under\r\n\t\t\tlaw or in equity. The arbitrator’s award shall be in writing and provide\r\n\t\t\ta statement of the essential findings and conclusions, shall be binding\r\n\t\t\ton you and us and may be entered as a judgment in any court of competent\r\n\t\t\tjurisdiction. The interpretation and enforcement of the Terms shall be\r\n\t\t\tsubject to the Federal Arbitration Act.\r\n\t\t

\r\n\t\t\tThe JAMS rules governing the arbitration may be accessed at https://www.jamsadr.com/adr-rules-procedures.\r\n\t\t\tIf you initiate arbitration, to the extent the filing fee for the arbitration\r\n\t\t\texceeds Two Hundred and Fifty U.S. Dollars ($250.00), we will pay the additional\r\n\t\t\tcost. If we are required to pay the additional cost of the filing fees,\r\n\t\t\tyou should submit a request for payment of fees to JAMS along with your\r\n\t\t\tform for initiating the arbitration, and we will make arrangements to pay\r\n\t\t\tall necessary fees directly to JAMS. We will also be responsible for paying\r\n\t\t\tall other arbitration costs arising in connection with the arbitration,\r\n\t\t\tother than costs incurred by you for legal counsel, travel and other out-of-pocket\r\n\t\t\tcosts and expenses not constituting fees or amounts payable to JAMS. You\r\n\t\t\twill not be required to pay fees and costs incurred by us if you do not\r\n\t\t\tprevail in arbitration. We will also pay JAMS to reimburse you for any\r\n\t\t\tportion of the $250 filing fee that is more than what you would otherwise\r\n\t\t\thave to pay to file suit in a court of law.\r\n\t\t

\r\n\t\t\tYou and we understand that, absent this mandatory provision, you and we\r\n\t\t\twould have the right to sue in court and have a jury trial. You and we\r\n\t\t\tfurther understand that the right to discovery may be more limited in arbitration\r\n\t\t\tthan in court.\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\t12.3 Class Action and Class Arbitration Waiver.\r\n\t\t\t\r\n\t\t\tYou and we each further agree that any arbitration shall be conducted\r\n\t\t\tin our respective individual capacities only and not as a class action,\r\n\t\t\tand you and we each expressly waive our respective right to file a class\r\n\t\t\taction or seek relief on a class basis. If any court or arbitrator determines\r\n\t\t\tthat the class action waiver set forth in this paragraph is void or unenforceable\r\n\t\t\tfor any reason or that an arbitration can proceed on a class basis, then\r\n\t\t\tthe arbitration provision set forth above shall be deemed null and void\r\n\t\t\tin its entirety and you and we shall be deemed to have not agreed to arbitrate\r\n\t\t\tdisputes.\r\n\t\t

\r\n\t\t\t\r\n\t\t\t\t12.6 30-Day Right to Opt-Out.\r\n\t\t\t\r\n\t\t\tYou have the right to opt-out and not be bound by the arbitration and\r\n\t\t\tclass action waiver provisions set forth above by sending written notice\r\n\t\t\tof your decision to opt-out by emailing us at\r\n\t\t\t\r\n\t\t\t\tlegal@shein.com\r\n\t\t\t\r\n\t\t\t. \r\n\t\t\t\r\n\t\t\t\t12.7 Exclusive Venue for Litigation.\r\n\t\t\t\r\n\t\t\tTo the extent that the arbitration provisions set forth above do not apply\r\n\t\t\tor if you have opted out of arbitration, you and we agree that any litigation\r\n\t\t\tbetween you and us shall be filed exclusively in state or federal courts\r\n\t\t\tlocated in California (except for small claims court actions which may\r\n\t\t\tbe brought in the county where you reside).
